Company formation packages


First Funding Round Package (tier 1)	Our most basic package designed for a company receiving its first round of investment, incorporating production of: • a simple subscription agreement (containing only basic warranties) by which prospective investors may commit to subscribing for shares; • a standard form shareholders’ agreement (to operate in conjunction with the model articles of association); • the corporate authorities (e.g. board and shareholder resolutions) required in connection with entry into the shareholders’ agreement and the issuance of shares to investors; • share certificates for the new investors; and • the necessary post-completion items, including updates to the Company’s statutory registers and filings at Companies House, plus management of the signing process.	£2,650+vat
First Funding Round Package (tier 2)	A slightly more advanced package for a company receiving its first round of investment, incorporating production of: • a simple subscription agreement (containing only basic warranties) by which prospective investors may commit to subscribing for shares; • our optimised Smart Start articles of association, which address some of the deficiencies found in the model articles of association; • the corporate authorities (e.g. board and shareholder resolutions) required in connection with entry into the shareholders’ agreement, adoption of the new articles of association, and the issuance of shares to investors; • share certificates for the new investors; and • the necessary post-completion items, including updates to the Company’s statutory registers and filings at Companies House, plus management of the signing process.	£3,000+vat
First Funding Round Package (tier 3)	A simple yet entirely bespoke package for a company receiving its first round of investment, most suitable for friends and family funding rounds, incorporating production of: • a simple subscription agreement (containing only basic warranties) by which prospective investors may commit to subscribing for shares; • a bespoke shareholders’ agreement designed specifically to suit the needs of your company (to operate in conjunction with the model articles of association); • the corporate authorities (e.g. board and shareholder resolutions) required in connection with entry into the shareholders’ agreement and the issuance of shares to investors; • share certificates for the new investors; and • the necessary post-completion items, including updates to the Company’s statutory registers and filings at Companies House, plus management of the signing process.	£3,300+vat
First Funding Round Package (tier 4)	Our most comprehensive package for a company receiving its first round of investment, most suitable for larger investment rounds with sophisticated individual investors, incorporating production of: • a simple subscription agreement (containing only basic warranties) by which prospective investors may commit to subscribing for shares; • a bespoke shareholders’ agreement; • bespoke articles of association; • the corporate authorities (e.g. board and shareholder resolutions) required in connection with entry into the shareholders’ agreement, the issuance of shares to investors and the adoption of the new articles of association; • share certificates for the new investors; and • the necessary post-completion items, including updates to the company’s statutory registers and filings at Companies House, plus management of the signing process.	£3,850+vat
ASA Funding Round Package	A basic package designed for a company receiving funds pursuant to an advance subscription agreement (ASA) but which won’t be issuing any shares, entering any shareholders’ agreement or amending its articles of association until a future date, incorporating production of: • a simple ASA; • the corporate authorities (e.g. board minutes and shareholder resolutions) required in connection with entry into the ASA; and • the necessary post-completion items, including filings at Companies House, plus management of the signing process.	£1,800+vat
